Terms of Service

These Terms of Service (“Terms”) govern access to and use of NovuSend, a secure document sending and electronic signature software-as-a-service platform (the “Service”), provided by Null Reality, LLC, a Texas limited liability company (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

NovuSend enables users to securely send, sign, and store documents electronically, including the generation of audit trails and transaction records.

The Service is provided on a subscription basis.

2. Eligibility and Accounts

You must be at least 18 years old to use the Service.

You are responsible for safeguarding account credentials and all activity under your account.

3. Acceptable Use

You agree not to:

  • Use the Service for unlawful or fraudulent purposes
  • Upload malicious code
  • Attempt to bypass security controls
  • Reverse engineer or misuse the Service

We may suspend or terminate access for violations.

4. Documents and User Content

4.1 Ownership

You retain ownership of all documents and content you upload.

4.2 License

You grant Null Reality, LLC a limited license to process documents solely to provide the Service.

4.3 Responsibility

You are responsible for the legality, accuracy, and compliance of documents and any required consents.

5. Electronic Signatures (ESIGN & UETA)

The Service supports electronic signatures under ESIGN and UETA. Use of electronic signatures is voluntary and at your discretion.

6. Security and Privacy

We implement safeguards aligned with industry best practices and SOC 2 Trust Services Criteria.

Our Privacy Policy governs data handling and is incorporated by reference.

7. Third-Party Services

The Service may integrate with third-party services (e.g., Stripe, analytics, email providers, Google Drive). Use of those services is subject to their own terms and privacy policies.

7.1 Google Drive Integration

  • If you connect your Google account, you authorize NovuSend to retrieve only the files you explicitly select for import.
  • When you import, we download a copy of the selected file from Google Drive and store it in NovuSend as a PDF for your use.
  • We do not access or modify other files in your Google Drive. Access is limited to the files you choose, and you may revoke access at any time via your Google account settings.

8. HIPAA Disclaimer

The Service is not currently HIPAA compliant, and Null Reality, LLC does not enter into Business Associate Agreements (BAAs).

You are responsible for determining suitability for PHI.

9. Subscriptions and Billing

Subscriptions are billed in advance. Payments are processed by Stripe.

Fees are non-refundable except as required by law.

10. Availability and Changes

We do not guarantee uninterrupted availability. Features may be modified or discontinued with reasonable notice.

11. Termination

You may terminate your account at any time.

We may suspend or terminate access for violations, non-payment, legal compliance, or security reasons.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

12.1 Composer AI Content

Composer AI may generate draft clauses or other legal-style content. Such output is provided for convenience only and does not constitute legal advice or legal services. You are solely responsible for reviewing, editing, validating, and approving any Composer AI output with qualified legal counsel prior to use. By using Composer AI, you acknowledge that Null Reality, LLC is not a law firm, does not provide legal representation, and you agree not to hold Null Reality, LLC liable for any claims, actions, or losses arising from your reliance on AI-generated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING TWELVE (12) MONTHS.

14. Indemnification

You agree to indemnify and hold harmless Null Reality, LLC from claims arising from your use of the Service or your content.

15. Governing Law

These Terms are governed by the laws of the State of Texas.

16. Brand and Service Name Clarification

NovuSend is the product and service name operated by Null Reality, LLC. All contractual obligations, rights, and responsibilities under these Terms are between the user and Null Reality, LLC, regardless of branding or service name used.

17. Changes to These Terms

We may update these Terms periodically. Continued use of the Service constitutes acceptance.
